Terms of Trade

1. General Provisions

These Terms of Trade govern all B2B transactions, indenting services, and export operations conducted by Disha Enterprises (GSTIN: 09DVOPM9557C1ZX), headquartered in Noida, Uttar Pradesh, India. By issuing a Purchase Order (PO) or requesting a quotation, the buyer agrees to these stipulations.

2. Shipping & Incoterms® 2020

All international transactions are governed by the official Incoterms® 2020 rules published by the International Chamber of Commerce (ICC). Unless otherwise specified in the commercial invoice, our standard shipping terms are:

• FOB (Free On Board): Disha Enterprises is responsible for export customs clearance and delivering the goods on board the vessel at the designated Indian port (e.g., JNPT, Mundra). The buyer assumes all risks and costs for sea freight and insurance from the moment the cargo is loaded.
• CIF (Cost, Insurance & Freight): Disha Enterprises arranges and pays for sea freight and minimum-level marine cargo insurance up to the agreed destination port. However, the risk of loss transfers to the buyer once the goods are securely loaded onto the vessel at the origin port.

3. Payment Terms

Standard payment terms require a mutual agreement via Irrevocable Letter of Credit (LC) at sight or Telegraphic Transfer (TT) with an agreed advance percentage prior to procurement and manufacturing. Goods remain the property of Disha Enterprises until full payment clears.

4. Quality and Inspections

Buyers have the right to nominate third-party inspection agencies (e.g., SGS, Bureau Veritas) for pre-shipment quality and quantity verification at the port of loading. Once the goods pass this inspection and are loaded, Disha Enterprises is not liable for degradation occurring during maritime transit.

5. Claims

Any claim relating to quality, quantity, or documentation must be notified in writing to Disha Enterprises within 15 days of the goods being discharged at the destination port, supported by an independent inspection report and photographic evidence. Claims not raised within this period, or relating to goods that passed pre-shipment inspection by a buyer-nominated agency, will not be entertained. Any claim is limited to the invoice value of the affected goods.

6. Governing Law & Dispute Resolution

These Terms and every contract formed under them are governed by the laws of India. The parties will first try to resolve any dispute through good-faith negotiation. If it is not resolved within 30 days, the dispute shall be finally settled by arbitration under the Arbitration and Conciliation Act, 1996, seated in New Delhi, India, in the English language. Subject to this, the courts at Noida, Uttar Pradesh, India shall have exclusive jurisdiction.
